工作职责
Job Responsibilities: Oversee company secretary function, ensuring corporate governance excellence, operational compliance, and corporate risk management. Stay abreast of regulatory changes impacting the group entities and ensure timely adaptation, collaborating with public bodies as needed. Review and prepare listed company circulars, resolutions and related documents Identify governance risks, provide advice on mitigation strategies, acquisitions, and restructuring. Collaborate closely with the board of directors, shareholders, senior executives and internal departments to manage meeting logistics, documentation, approvals, post-meeting resolutions and record-keeping. Serve as the principal governance advisor to the Board and executives, offering guidance on governance best practices and regulatory compliance. 职位要求
Requirements: Degree holder in related disciplines with professional qualification in HKICS or ICSA with at least 15 years' solid company secretary experience gained from sizeable Hong Kong listed companies Associate Membership of the HKCGI Comprehensive knowledge of Companies Ordinance, Listing Rules and statutory requirements. Familiar with company secretarial procedures, rules and regulations particularly those applicable to Hong Kong and BVI companies Exposure and knowledge of regulations for PRC and Macau will be an advantage; Experience in handling joint ventures is an advantage; preferably from notable conglomerates or companies Exceptional presentation and interpersonal skills, with the ability to effectively engage Board members, investors and key internal stakeholders across all levels. Good communication skills and good command of both spoken and written English & Chinese; Familiar with MS Office and Computer Software Assurance (CSA) program; Responsible, tactful, detail-oriented and able to work under pressure; Able to work independently with good initiatives and attentive to details.We offer long-term career prospects and competitive remuneration package to the appointed candidate.
